Site closure, default, and load loss events in commercial solar PPA pricing offtake risk underwriting

In one deal SunRaise reviewed, a regional food-processing tenant cut facility load 38 percent over two years by replacing legacy refrigeration equipment with variable-speed compressors. The PPA carried no take-or-pay floor. Revenue fell in step with load, DSCR dropped below the 1.05x covenant by year three, and the lender declared a technical default before the tenant had missed a single scheduled payment. The resolution required a restructured minimum-production floor, a six-month DSRA top-up, and assignment of the parent company guarantee, a workable outcome, but one that consumed eight months of negotiation and a full legal re-scrub of the PPA.

Lenders mitigate these events with a stack of controls. Site-take rights let the sponsor sell the array to a replacement offtaker if the primary vacates. Merchant tails, where the array sells excess into wholesale markets or net-metering at a haircut, sit in every credit committee memo. C&I offtakers are rate-sensitive in ways residential customers are not. A manufacturer on 4 MW of load faces an all-in industrial tariff that varies from roughly $60 to $130 per MWh across US markets, according to the EIA Electric Power Monthly series.
